It is contemplated that Company and/or its affiliates that are subsidiaries of Ensign Natural Resources LLC (collectively, “Company Members”) may from time to time employ the services of Contractor and its affiliates or purchase or lease goods, equipment or facilities from Contractor and its affiliates (collectively, the “Work”), in each case pursuant to verbal or written work orders or purchase orders agreed to between the applicable Company Member and Contractor or its affiliate (each, an “Order”).

The Accounting Firm shall resolve all disputes in a manner consistent with this Agreement and, to the extent not inconsistent with this Agreement, in a manner consistent with the past practices of Ensign and its Affiliates, except as otherwise required by applicable Law.
