Eligible Supplier definition
Eligible Supplier means a Person, other than Constellation Beers and Grupo Modelo, that is capable of manufacturing Importer Products in a manner that meets or exceeds the Quality Standards.

With respect to the Eligible Receivables, the Purchase Price of which the Borrower will pay using the proceeds of such Loan, (A) the applicable Eligible Supplier shall have sold to the Borrower, and the Borrower shall have purchased from such Eligible Supplier, such Eligible Receivables pursuant to a Supplier Agreement; and (B) the Person to which such Purchase Price will be paid shall not be an Ineligible Supplier.
Nothing herein shall be construed as a guarantee or commitment on the part of either Company or GMAC CF as to the number of Suppliers which will participate in the Program, and Company and GMAC CF acknowledge that any participation by an Eligible Supplier in the Program shall be at such Eligible Supplier's sole discretion.
ABM shall pay the following Termination Charges in connection with the above-referenced termination for convenience: • Reimbursement of actual severance costs in accordance with Section 2(b) of Schedule N, provided that such costs shall be capped at $650,000 if ABM extends Comparable Offers of Employment to at least ten (10) of the Eligible Supplier Employees.
GMAC CF shall furnish to Company a copy of each Supplier Agreement promptly after such agreement has been executed and delivered by GMAC CF and the respective Eligible Supplier and shall promptly notify Company of any amendments to such agreements.
GMAC CF shall have no liability to Company for any failure by GMAC CF to contact, negotiate or reach an agreement for a Supplier Agreement with an Eligible Supplier.

Eligible Supplier means any Person engaged in business of selling Goods, that is acceptable to IDB Invest, provided each such Person meets the following eligibility requirements to the satisfaction of IDB Invest: (i) is a Person with business activity domiciled within IDB Invest Member Countries; (ii) its activities are not included in the List of Excluded Activities; (iii) is not included, nor is an Affiliate, of an entity included in the Internationally Recognized Sanctions List or the IDB Group List of Sanctioned Firms and Individuals; (iv) is not an Affiliate of the Borrower; and (v) is not a High-Risk Vendor, at IDB Invest’s discretion. “Event of Default” means any event specified in Section 6.1 (Events of Default). “Existing Facility” means that certain Credit and Guaranty Agreement, dated as of September 12, 2022, among the Borrower, Telefonía Celular de Nicaragua, S.A., the Guarantor, the lenders party thereto and The Bank of Nova Scotia, as administrative agent, as amended, restated, supplemented or otherwise modified from time to time. “Fair Market Value” means, with respect to any Property, the sale value that would be obtained in an arm’s length free market transaction between an informed and willing seller under no compulsion to sell and an informed and willing buyer under no compulsion to buy, as determined in good faith by the chief executive officer or a financial officer of the relevant Obligor. “Fee Letter” means each fee letter agreed between the Borrower and IDB Invest setting forth the fees payable in respect of the transactions contemplated herein. “Financial Covenant” has the meaning provided in Section 5.1.9 (Financial Covenant). “Financial Quarter” means each period commencing on the day after a Financial Quarter Date and ending on the immediately succeeding Financial Quarter Date. “Financial Quarter Date” means each March 31, June 30 and September 30.
Eligible Supplier means a supplier of prerecorded music, video or other entertainment products, personal electronic products, blank tapes or discs or any other merchandise purchased by Camelot for sale that (i) was the Holder of a General Unsecured Claim as of the Petition Date and (ii) is identified by Camelot as a continuing supplier of such products to Camelot Distribution Co., Inc. in a schedule Filed by Camelot at least 30 days prior to the first scheduled date of the Confirmation Hearing.
