Eligible Shareholders definition

Eligible Shareholders means as defined in Section 5.7(a).
Eligible Shareholders has the meaning assigned to such term in Section 3.1.1.
Eligible Shareholders means all the shareholders of the Target Company who are eligible to tender their Equity Shares in the Open Offer, excluding (i) the Acquirers and the PAC; and (ii) parties to the underlying SPA (as defined below) including persons deemed to be acting in concert with the Acquirers and/or the PAC and such parties to the SPA.

Examples of Eligible Shareholders in a sentence

  • In no event will Eligible Shareholders and/or Eligible Investors in the Company be allotted more Convertible Notes than they have applied for.

  • On that date, the Agent, in collaboration with Iberclear, will proceed to determine the number of Surplus Convertible Notes and to allot them to those Eligible Shareholders and Eligible Investors who have requested the allotment of Additional Convertible Notes in accordance with section (e) above (request for Additional Convertible Notes), based on the information sent by the Participants to Iberclear, as indicated by the Agent in the operating instruction sent for that purpose.

  • The Participants will be responsible for verifying that Eligible Shareholders and Eligible Investors applying for Additional Convertible Notes have exercised all pre-emptive subscription rights they have on deposit with the Participant.

  • Notwithstanding that applications for Additional Convertible Notes will have no quantitative limit, the maximum effective number of Additional Convertible Notes that may be subscribed for by Eligible Shareholders and Eligible Investors will depend on the number of Surplus Convertible Notes and the conditions and rules of allotment described in paragraph (2.2) of section 5.1.2 of the Securities Note.


More Definitions of Eligible Shareholders

Eligible Shareholders means a holder of Ordinary Shares registered at 5.00pm on the Record Date with a registered address in Australia, New Zealand, Papua New Guinea or Singapore.
