Eligible Purchasers definition

Eligible Purchasers as used herein, shall refer to (i) persons whom you reasonably believe to be QIBs and (ii) outside the United States to certain persons who are not U.S. Persons (as defined in Regulation S) (such persons, “Non-U.S. Persons”) in offshore transactions in reliance on Regulation S.

Eligible Purchasers means any Noteholder and additional Institutional Investors; provided that the aggregate number of Eligible Purchasers shall not at any time exceed a number which, if exceeded, would result in the loss of the exemption in respect of any Series of Notes from the registration requirements of the Securities Act.

Eligible Purchasers mean those parties authorized to purchase OEM Products under this Agreement as listed in Section 1.2 above.

Examples of Eligible Purchasers in a sentence

• Eligible Purchasers include State entities or political subdivisions of a State for the purpose of Section 103(a) of the IRC as well as tax exempt non-profit corporations and entities under 501(c)(4) of the IRC.

• Eligible Purchasers shall order goods and/or services from this Master Contract, consistent with the terms hereof and by using any ordering mechanism agreeable both to Contractor and Purchaser but, at a minimum, including the use of a purchase order.

More Definitions of Eligible Purchasers

Eligible Purchasers means the Purchasers who are parties to the 1956 and 1959 Contracts, and the Kootenai Electric Cooperative, Inc., Clearwater Power Company, Idaho County Light and Power Cooperative Association, Inc., Northern Lights, Inc. and the electric cooperative members of the Snake River Power Association, Inc. (collectively, the "Idaho Cooperatives") as of October 31, 2000.

Eligible Purchasers has the meaning set forth in Section 3(b)(i) hereof.

Eligible Purchasers. Each member of the Eligible Group defined in the Application for this group Contract shall be eligible to purchase an Annuity from PRIAC under this Contract. Annuity Certificates PRIAC will issue Annuity Certificates to each Eligible Purchaser that purchases an annuity under this Contract. The Annuity Certificates will be substantially in the form attached hereto subject to any state variations and filing requirements of applicable state insurance departments. Each Annuity Certificate issued at the time of purchase will set forth the terms of such annuity. In the event of any conflict between the terms of this Contract and any Annuity Certificates, the terms of the Annuity Certificates will control. PRIAC may offer additional benefits or enhancements to the benefits under the Annuity Certificates, change or modify the terms of Annuity Certificates to be offered without any affect on annuities purchased under this Contract prior to the effective date of such changes, and/or withdraw offering certain annuity certificates and any respective riders/endorsements. Proof of Continued Existence Before we make a payment under any annuity, we have the right to require proof of continued life and any other documentation we need to make a payment. We can require this proof for any person whose life or death determines whether or to whom we must make the payment. We may withhold making payment until receipt of such evidence. Nonparticipation This Contract does not share in our profits or surplus earnings. Governing Law This Contract will be governed by, and interpreted in accordance with, the laws (excluding conflicts of laws rules) of the Contract jurisdiction and, to the extent applicable, federal law.

Eligible Purchasers means a purchaser who (i) has either lived or worked in the County for the immediately preceding twelve (12) months, (ii) has not previously owned a home and (iii) had an adjusted family income equal to or less than eighty percent (80%) of the adjusted median family income for the County as determined by the Regulations of the United States Department of Housing and Urban Development (“HUD”).

Eligible Purchasers means purchasers who (i) have either lived or worked in the County for the immediately preceding twelve (12) months, (ii) have not previously owned a home and (iii) have an adjusted family income equal to or less than eighty percent (80%) of the adjusted median family income for the County as determined by the Regulations of the United States Department of Housing and Urban Development (“HUD”). Provided the 3 EmPOWERment Lots have been developed for affordable housing as hereinabove provided, the County and EmPOWERment shall negotiate in good faith with regard to the conveyance of additional Affordable Housing Lots to EmPOWERment.

Eligible Purchasers are only those entities identified by CLIENT as authorized to buy Product from D&K.
