A Retail Client is any client who does not satisfy the criteria to qualify as a Professional Client or Eligible Counterparty.
Where Instinet agrees to such classification, the Client may be treated as an Eligible Counterparty.
If the Client is classified as a Professional Client and wishes to be treated as an Eligible Counterparty, the Client must confirm in writing to Instinet the request to be treated as an Eligible Counterparty either generally or in respect of one or more Investment Services.
Unless the Client is classified as an Eligible Counterparty, Instinet will provide the Client separate disclosure of the essential arrangements relating to such fees, commissions or non-monetary benefits (where such disclosure is required under Applicable Rules).
If the Client is an Eligible Counterparty, Instinet may agree separately the content and timing of the information it provides, including with respect to Confirmations.
