Electronics Business definition

Electronics Business means (i) the business and operations of the Electronics segment of Tyco as each is described in Electronics’ Form 10, (ii) any other business conducted primarily through the use of the Electronics Assets prior to the Relevant Time and (iii) the businesses and operations of Business Entities acquired or established by or for Electronics or any of its Subsidiaries after the date of this Agreement.
Electronics Business has the meaning set forth in the Separation and Distribution Agreement.
Electronics Business means the “Business,” as defined in that certain Purchase Agreement, dated as of January 12, 2014, by and between ▇▇▇▇▇▇▇ Controls, Inc. and Visteon Corporation, and the “Business,” as defined in that certain Asset Purchase Agreement, dated as of July 18, 2013, by and between ▇▇▇▇▇▇▇ Controls, Inc. and Gentex Corporation.

  • Adient shall not amend, or permit any of its Affiliates to amend, any Tax Return required to be filed by or with respect to the Electronic Entity to the extent relating to any Taxes or Tax Items of the Electronics Business without the prior written consent of ▇▇▇▇▇▇▇ Controls (not to be unreasonably withheld, conditioned or delayed).

  • Subject to the other provisions of this Agreement, ▇▇▇▇▇▇▇ International shall use commercially reasonable efforts to maintain in full force and effect the Shared Policies to the extent that such policies apply to the ▇▇▇▇▇▇▇ Electronics Business.

  • Veoneer shall be responsible for preparing and timely filing (i) any Separate Returns that are required to be filed with respect to any of its Subsidiaries prior to the Distribution, and (ii) all Separate Returns that include Tax Items of the Electronics Business determined without regard to Tax Items carried forward to such Tax Year.

Electronics Business means the Seller's business of manufacturing, purchasing, preparing, transfilling, packaging, marketing, distributing, selling and/or supplying unique products, in any physical state (for example, fluorine, hydride, silane or organosilane compounds), where such products were, or will be, originally developed for and sold for use in the Electronics Industry. For the purpose of this definition, the Electronics Industry shall be defined by the SIC codes listed on Schedule 1.36, as such schedule may be amended from time to time by the parties.
Electronics Business refers to DuPont’s electronics business.

Electronics Business means the Seller's business of manufacturing, purchasing, storing, purifying, preparing, transfilling, packaging, marketing, distributing, selling and/or supplying products (including the sale of associated gases otherwise included in the Packaged Gas Business and related equipment), in any physical state, where such products are sold for use to manufacturers, assemblers, or testers of silicon wafers, semiconductor devices, compound semiconductor wafers, compound semiconductor devices, photovoltaic devices, photonic devices, SiGe devices, LCD's and LED's, optical fibers, fiber optics, or any similar materials or devices.
Electronics Business means the business of Visteon and its Subsidiaries (other than the Company and its Subsidiaries) as currently conducted as of the date hereof; provided, that, once businesses are transferred to the Company or a Subsidiary of the Company pursuant to Section 4.15, “Electronics Business” shall be deemed to exclude such businesses.
