The Company has entered into a rights agreement with respect to the Rights and the Placement Rights with Efficiency, as rights agent, substantially in the form filed as an exhibit to the Registration Statement (the “Rights Agreement”).
As of the date of this Agreement, Predecessor has at least $116,026,206.11 in the trust fund established by Predecessor for the benefit of its public shareholders (the “Trust Fund”) in a United States-based account at Efficiency, acting as trustee (the “Trust Account”), and such monies are invested in “government securities” (as such term is defined in the Investment Company Act of 1940, as amended) and held in trust by Efficiency pursuant to the Investment Management Trust Agreement.
