Examples of ECF Period in a sentence
Borrower shall notify Administrative Agent in writing of any mandatory prepayment of Loans required to be made pursuant to (i) Section 2.11(a) or (b) within five Business Days of receipt of the applicable Net Asset Sale Proceeds or Net Insurance/Condemnation Proceeds and (ii) Section 2.11(d) within 90 days after the end of the applicable ECF Period.
Simultaneously with the delivery by the Loan Parties of the financial statements required to be delivered pursuant to Section 6.01(a) for each Fiscal Year (commencing with the Fiscal Year ending December 31, 2023), the Loan Parties shall deliver to the Administrative Agent a calculation of the Excess Cash Flow for such ECF Period.
For the avoidance of doubt, except as provided in Section 2(b) above with respect to the 2013 ECF Period, the Required Lenders hereby waive any obligation of the Borrower to make a mandatory prepayment of Loans out of Excess Cash Flow pursuant to Section 2.03(b)(i) of the Existing Credit Agreement in respect of the fiscal year ended September 30, 2012.
