The holders of the EBC Founder Shares will not sell, transfer, assign, pledge or hypothecate any of the EBC Founder Shares for a period of 180 days pursuant to Conduct Rule 5110(e)(1) of the Financial Industry Regulatory Authority, Inc.
The holders of the EBC Founder Shares shall have registration rights as provided for in the Registration Rights Agreement (as defined in Section 2.24.5).
No underwriting discounts, commissions or placement fees have been or will be payable in connection with the sale of the EBC Founder Shares.
