Due Organization, Authorization Sample Clauses

The 'Due Organization, Authorization' clause serves to confirm that a party entering into an agreement is properly organized and has the legal authority to do so. Typically, this means the party is a validly existing entity, such as a corporation or LLC, and that the individuals signing the contract have been duly authorized by the entity’s governing body. This clause helps ensure that the agreement is legally binding and enforceable by verifying that all parties have the requisite legal standing and internal approvals, thereby reducing the risk of future disputes over authority or validity.
