Due Diligence Items definition

Due Diligence Items has the meaning ascribed to such term in Section 5.4.
Due Diligence Items shall have the meaning ascribed in Section 3.2.
Due Diligence Items means those items, documents and deliveries contemplated in Section 3.2(a).

Examples of Due Diligence Items in a sentence

  • In the event, however, that Purchaser determines that it has not been provided with all of the Due Diligence Items, then Purchaser shall provide Seller with written notice thereof (the “Missing Due Diligence Notice”), within two (2) business days following Purchaser’s receipt of the Due Diligence Delivery Notice, enumerating with specificity in such notice which Due Diligence Items have not been provided by Seller (the “Missing Due Diligence Items”).

  • Buyer shall pay for all costs of review of the Due Diligence Items and its additional due diligence inspection costs including, without limitation, the cost of any environmental reports.

  • Seller shall provide Purchaser with written notice at such time as Seller determines that all Due Diligence Items have been delivered to Purchaser (the “Due Diligence Delivery Notice”).

  • Within two (2) business days following Seller’s receipt of the Missing Due Diligence Notice, Seller shall provide Purchaser with the Missing Due Diligence Items, together with written notice confirming such delivery (the “Missing Due Diligence Delivery Notice”).

  • In the event this Agreement is terminated due to the default of Buyer hereunder, Buyer shall deliver to Seller, at no cost to Seller, the Due Diligence Items and, if requested in writing by Seller, any or all of Buyer’s Reports.


More Definitions of Due Diligence Items

Due Diligence Items means those items, documents and matters listed or described on Exhibit ”D” attached hereto and by this reference made a part hereof.
Due Diligence Items means those items, documents and deliveries actually delivered or made available to Buyer by the time required under Section 3.2.
Due Diligence Items means those documents and other items set forth on Schedule 1.4 hereof to the extent such items are in Seller’s possession or control.
Due Diligence Items means true, correct and complete copies of each of the following items as are in Developer’s possession or control, including electronic versions (if any) with respect to any Development Towers (and the related Tower Assets and Sites):

If Buyer desires to discuss or otherwise inquire about matters related to the Property with various governmental entities and utilities and the other Due Diligence Items with the tenant under the Cargill Lease and other third parties, then Buyer may contact all necessary third parties, and discuss with such third parties Due Diligence Items; provided Buyer first gives Seller written or telephonic notice and a reasonable opportunity to be present at such contact or discussions at a time and location reasonably convenient to Seller. Notwithstanding the foregoing, Buyer’s obtaining typical diligence from the public records (e.g. historical uses, no violations letters, zoning letters, licenses, permits and certificates of occupancy) shall not require prior notice to Seller.
