Drawdown Prospectus definition

Drawdown Prospectus means a prospectus prepared in connection with an issue of Covered Bonds under the Programme (including all documents incorporated by reference therein) which, in relation to a particular Tranche of Covered Bonds which are subject to the requirements of the Prospectus Directive, constitutes a valid prospectus published in accordance with the requirements of the Prospectus Directive, and which prospectus may incorporate by reference portions of the Base Prospectus and also include (among other information) the final terms of the Covered Bonds and specific Risk Factors, if appropriate, as revised, supplemented, amended or updated by any supplemental Prospectus;
Drawdown Prospectus means the stand-alone prospectus prepared in respect of a Tranche of Covered Bonds and giving details of that Tranche and, in relation to any particular Tranche of Covered Bonds, “applicable Drawdown Prospectus” means the Drawdown Prospectus applicable to that Tranche and, unless the context requires otherwise, any reference to Drawdown Prospectus or applicable Drawdown Prospectus includes a reference to Final Terms and applicable Final Terms, respectively, and Pricing Supplement and applicable Pricing Supplement, respectively;
Drawdown Prospectus means a prospectus containing all information relevant to the particular Tranche of Instruments which shall include all information included or incorporated by reference therein which has been approved by the relevant competent authority of a Member State in accordance with the Prospectus Directive and relevant implementing measures and which shall include all information included or incorporated by reference therein.

  • In the case of a Tranche of Notes which is the subject of a Drawdown Prospectus, each reference in this Base Prospectus to information being specified or identified in the relevant Final Terms shall be read and construed as a reference to such information being specified or identified in the relevant Drawdown Prospectus unless the context requires otherwise.

  • The terms and conditions applicable to any particular Tranche of Notes which is the subject of a Drawdown Prospectus will be the Conditions as supplemented, amended and/or replaced to the extent described in the relevant Drawdown Prospectus.

  • Any information relating to the Notes which is not included in this Base Prospectus and which is required in order to complete the necessary information in relation to a Tranche of Notes will be contained either in the relevant Final Terms or in a Drawdown Prospectus.

More Definitions of Drawdown Prospectus

Drawdown Prospectus means (i) a single document; or (ii) a prospectus consisting of a registration document (the “Registration Document”), a securities note (the “Securities Note”) and, if applicable, a summary which relates to a particular Tranche of Instruments to be issued under the Programme, which has been approved by the relevant competent authority of a Member State in accordance with the Prospectus Directive and relevant implementing measures and which shall include all information included or incorporated by reference therein;
Drawdown Prospectus means a unitary prospectus prepared in connection with an issue of Securities under the Programme issued by way of Final Terms pursuant to the Base Prospectus (including all documents incorporated by reference therein) which unitary prospectus may incorporate by reference portions of the Base Prospectus, may also include (among other information) a Summary, the final terms of the Securities and risk factors specific to the Securities, and in relation to a particular Tranche of Securities which are subject to the requirements of the Prospectus Regulation, constitutes a valid prospectus prepared and published in accordance with the requirements of the Prospectus Regulation, as such unitary prospectus is revised, supplemented, amended or updated by any supplement thereto prepared in accordance with sub clause 3.02(v);
Drawdown Prospectus means a unitary prospectus prepared in connection with an issue of Securities under the Programme complying with any applicable Stock Exchange rules and, in relation to a particular Tranche of Securities which are subject to the requirements of the EU Prospectus Regulation or the UK Prospectus Regulation, as the case may be, which constitutes a valid prospectus in accordance with the requirements of the EU Prospectus Regulation or UK Prospectus Regulation, as the case may be, and as revised, supplemented, amended or updated by any supplement thereto prepared in accordance with the relevant Dealership Agreement;
Drawdown Prospectus means any prospectus prepared in connection with a particular Tranche of Notes and approved by a competent authority for the purposes of the Prospectus Directive, and in each case includes any supplements thereto and notices related thereto.
