Upon any adjustment to the Initial Dividend Threshold (as defined in the Indenture) for the Convertible Notes pursuant to the Indenture, the Calculation Agent will make a corresponding adjustment to the Regular Dividend for the Transaction.
If the Reference Property is composed solely of non-stock consideration, the Initial Dividend Threshold shall be zero.
