Distribution Event definition

Distribution Event means any insolvency, bankruptcy, receivership, liquidation, reorganization or similar proceeding (whether voluntary or involuntary) relating to the Company or its property, or any proceeding for voluntary or involuntary liquidation, dissolution or other winding up of the Company, whether or not involving insolvency or bankruptcy.
Distribution Event means, as to each Participant, the earliest of the following events:
Distribution Event means an event as a result of which a Participant is entitled to receive the balance of his or her Deferred Compensation Account pursuant to Section 12.3 of this Plan, namely (i) with respect to a Participant who is an employee of the Company or a Subsidiary and the portion of his or her Deferred Compensation Account attributable to an Award or other compensation earned as an employee, the date the Participant terminates his or her employment with the Company or a Subsidiary, and (ii) with respect a Participant who is a Director and the portion of his or her Deferred Compensation Account attributable to an Award or other compensation earned as a Director, the earlier of (A) the date the Participant terminates his or her service as a Director, or (B) the Participant’s attainment of the age specified (not younger than age 55) in an election form filed by the Participant with the Committee at such time as he or she first becomes eligible to defer compensation pursuant to Article 12 of this Plan.

Examples of Distribution Event in a sentence

  • For the avoidance of doubt, if there is no Token Distribution Event, this provision also terminates at the termination of the DDA.

  • The Units and Shares to be received upon a Distribution Event are granted pursuant to the Plan and are governed by the terms thereof, which are incorporated herein by reference.

  • The Token Distribution Event will occur at a future, currently unknown, date depending on the successful development and deployment of the Token Functionality and the Token Distribution Event may never happen.

More Definitions of Distribution Event

Distribution Event means an event upon which the Executive may become entitled to receive his Benefit as described in Article IV.
Distribution Event means, with respect to each Participant, the applicable date or event specified by the Participant on his or her Enrollment Form pursuant to Section 7.1 (a), or the death or Disability of the Participant.

Distribution Event means the event selected by the Participant on his or her Deferral Election Form for the commencement of the distribution of the Participant’s Account attributable to a Deferral Amount (including Earnings). A Participant may select as a Distribution Event for a Deferral Account (i) Severance From Service or (ii) a Specified Date.
Distribution Event means, with respect to a Participant, the earliest to occur of (1) the Participant’s Separation from Service, (2) the Participant’s Scheduled Withdrawal Payment Date, (3) the Participant’s Disability, (4) approval of a Hardship Distribution, or (5) the Participant’s death.
Distribution Event means a Change of Control of the Bank or the Member’s death, Disability, or Termination of Employment.
