The Distribution Date shall be the 25th day of the month in which the related Record Date occurs.
If all or a portion of indemnities due to the Asset Representations Reviewer is not paid by the Servicer to the Asset Representations Reviewer within thirty (30) days of receipt of an invoice, then the unpaid portion of such indemnities then due and payable shall be paid by the Issuer pursuant to the priority of payments described in Sections 2.8 or 5.4(b) of the Indenture, as applicable, on the Distribution Date following the month in which the invoice was received by the Issuer.
