Distributed Software means the “distributed software” prescribed in Article 9.2.
Distributed Software means Software that is not owned by Electrosonic and is licenced by Electrosonic under a separate licence agreement between Electrosonic and the owner of such Software. This licence shall be effective from the date of delivery of equipment and related Software by Electrosonic to the Customer and shall remain in effect until the Customer discontinues the use of such Software. The Customer acknowledges that title to and ownership of the Software shall at all times remain with Electrosonic or the owner of Distributed Software, and that the Customer will comply with all applicable terms of any third party licence relating to any Distributed Software (in addition to the terms herein and any other contract with Electrosonic). The Customer agrees to use the Software and any part thereof only with the equipment designated within the contract with Electrosonic and to copy the Software in whole or in part (with the proper inclusion of Electrosonic’s copyright notice and any Electrosonic proprietary notices) only for use in connection with purchased equipment. The Customer’s rights to use Software supplied by Electrosonic hereunder may not be assigned, licenced or transferred to a successor, affiliate or any other person, firm or organisation except in connection with an assignment of the purchased equipment on written terms that unequivocally recognises Electrosonic’s ownership of such Software. If the Customer fails to perform or observe any of its obligations under this licence, or if a receiver or trustee in bankruptcy is appointed with respect to the Customer, this licence shall immediately terminate.
