Dissent Procedures definition

Dissent Procedures has the meaning set out in Section 3.1;

Dissent Procedures means the rules pertaining to the exercise of Dissent Rights as set forth in Division 2 of Part 8 of the BCBCA and Article 5 of this Plan of Arrangement;

Dissent Procedures has the meaning ascribed thereto in Section 4.1(1).

Examples of Dissent Procedures in a sentence

• Notwithstanding §3.1 hereof, holders of Arris Shares may exercise rights of dissent (the "Dissent Right") in connection with the Arrangement pursuant to the Interim Order and in the manner set forth in sections 237 - 247 of the BCBCA (collectively the "Dissent Procedures").

• If a Primero Shareholder duly complies with the Dissent Procedures and is ultimately entitled to be paid by Primero for their Dissenting Shares, Primero will pay the amount to be paid in respect of the Dissenting Shares.

• If a Arris Shareholder duly complies with the Dissent Procedures and is ultimately entitled to be paid for their Dissenting Shares, then Arris shall retain the portion of the Distributed CLI, QMI and AHI Shares attributable to such Arris Shareholder (the "Non-Distributed CLI, QMI and AHI Shares"), and the Non-Distributed CLI, QMI and AHI Shares shall be dealt with as determined by the board of directors of Arris in its absolute discretion.

• If a Target Shareholder duly complies with the Dissent Procedures and is ultimately entitled to be paid for their Dissenting Shares, Purchaser will pay the amount to be paid in respect of the Dissenting Shares.

• If a GPK Shareholder duly complies with the Dissent Procedures and is ultimately entitled to be paid for their Dissenting Shares, then GPK shall retain the portion of the Distributed Shares attributable to such GPK Shareholder (the "Non-Distributed Shares"), and the Non-Distributed Shares shall be dealt with as determined by the board of directors of GPK in its absolute discretion.

More Definitions of Dissent Procedures

Dissent Procedures has the meaning set out in Section 6.1 of the Arrangement Agreement and Section 3.1 of this Plan of Arrangement;

Dissent Procedures means the procedures to be taken by a Shareholder in exercising Dissent Rights.
