Disposal Agent definition

Disposal Agent means, in respect of a Series, the entity specified as such in the applicable Issue Terms or any Successor thereto or replacement Disposal Agent appointed by the Issuer at its Specified Office;
Disposal Agent means a recognised collateral or portfolio manager with experience in the management of assets of a similar nature to the Collateral Debt Obligations.

  • There is a risk that the Instructing Securityholder(s) nominate a Disposal Agent and/or provide instructions to the Security Trustee that results in delays or the Collateral Assets being realised for less than the Collateral Assets could have been realised for if a different Disposal Agent had been nominated or different instructions had been provided.

  • The Collateral Custodian, the Disposal Agent, the Substitute Paying Agent, the Security Trustee and the Security Agent are (unless otherwise specified in the applicable Final Terms) part of the same group and in the event of the insolvency of one entity it is possible that another entity may also be insolvent.

More Definitions of Disposal Agent

Disposal Agent means any agent appointed by the Security Trustee to realise and dispose of Collateral Assets in a Collateral Pool following the delivery of a Collateral Enforcement Notice and, if applicable, any sub-agent of, or any other entity appointed by the Disposal Agent.
Disposal Agent means the agent appointed pursuant to the Collateral Management Agreement for the purpose of liquidating the Portfolio.
