Where the disclosure relates to financial statements, information derived from financial statements or financial projections, the Chief Financial Officer (“CFO”) of the Company shall be deemed a Disclosure Officer.The Disclosure Officers shall have responsibility for the disclosure of material information.
The Disclosure Officer(s) shall investigate items reported to them under this Code of Ethics (“ Reports”) and determine, or designate appropriate persons to investigate and determine, appropriate actions to be taken in response to each Report.
In addition, the Disclosure Officers must report to the Audit Committee any significant changes in the Company’s internal controls and procedures for financial reporting or in factors that could affect such controls and procedures including corrective actions taken.
