Disability definition

Disability means total and permanent disability as defined in Section 22(e)(3) of the Code.
Disability means, in respect of a person, a permanent impairment of a physical, intellectual, or sensory function, which results in restricted, or lack of, ability to perform an activity in the manner, or within the range, considered normal for a human being.
Disability means the absence of the Executive from the Executive's duties with the Company on a full-time basis for 180 consecutive business days as a result of incapacity due to mental or physical illness which is determined to be total and permanent by a physician selected by the Company or its insurers and acceptable to the Executive or the Executive's legal representative.

Examples of Disability in a sentence

  • If the Participant’s employment or service terminates as a result of the Participant’s Disability, the unvested portion of the Option shall immediately terminate and cease to be exercisable and the Participant may exercise the vested portion of the Option, but only within such period of time ending on the earlier of (a) the date that is twelve (12) months following such termination or (b) the Expiration Date.

  • In the event of the Grantee’s death or if the Grantee’s employment by or service to the Company is terminated for Disability or Retirement, all Nonvested RSUs shall become fully vested and no longer such just to forfeiture upon the date of such event.

  • The determination of whether you have a Disability shall be made by the person or persons required to make disability determinations under the long-term disability plan.

  • Furthermore, the Consulting Period and this Agreement shall terminate effective immediately upon Executive’s death or Disability.

  • Notwithstanding the foregoing, a Disability shall not qualify under this Agreement if it is the result of (a) a willfully self-inflicted injury or willfully self-induced sickness, or (b) an injury or disease contracted, suffered, or incurred while participating in a felony criminal offense.


More Definitions of Disability

Disability means total and permanent disability as defined in Section 22(e)(3) of the Code, provided that in the case of Awards other than Incentive Stock Options, the Administrator in its discretion may determine whether a permanent and total disability exists in accordance with uniform and non-discriminatory standards adopted by the Administrator from time to time.
Disability means, with respect to a Participant, the inability of such Participant to engage in any substantial gainful activity by reason of any medically determinable physical or mental impairment that can be expected to result in death or that has lasted or can be expected to last for a continuous period of not less than 12 months, as provided in Sections 22(e)(3) and 409A(a)(2)(c)(i) of the Code, and will be determined by the Board on the basis of such medical evidence as the Board deems warranted under the circumstances.
Disability means the permanent and total disability of a person within the meaning of Section 22(e)(3) of the Code.
Disability means the failure of the Executive, due to physical or mental disability, to perform the services reasonably contemplated by his position for a period of either (i) ninety (90) consecutive days or (ii) one hundred twenty (120) days, whether or not consecutive, during any 360-day period.

Disability means, with respect to any Participant, that such Participant (i) as determined by the Administrator in its sole discretion, is unable to engage in any substantial gainful activity by reason of any medically determinable physical or mental impairment which can be expected to result in death or can be expected to last for a continuous period of not less than twelve (12) months, or (ii) is, by reason of any medically determinable physical or mental impairment which can be expected to result in death or can be expected to last for a continuous period of not less than twelve (12) months, receiving income replacement benefits for a period of not less than three (3) months under an accident and health plan covering employees of the Company or an Affiliate thereof.
Disability shall be deemed the reason for the termination by the Company of the Executive's employment, if, as a result of the Executive's incapacity due to physical or mental illness, the Executive shall have been absent from the full-time performance of the Executive's duties with the Company for a period of six (6) consecutive months, the Company shall have given the Executive a Notice of Termination for Disability, and, within thirty (30) days after such Notice of Termination is given, the Executive shall not have returned to the full-time performance of the Executive's duties.
