Direction to Pay definition

Direction to Pay means a letter executed by the Borrower or other applicable Loan Party and delivered to a Licensee (or its agent), substantially in the form of Exhibit G hereto or such other form as shall be reasonably acceptable to the Administrative Agent, which letter provides irrevocable instructions to such Licensee (or its agent) to remit payments due to Borrower or such other Loan Party directly to a Collection Account.
Direction to Pay means the authorization from the Participant which allows AMSC to pay the Qualified Contractor on the Participant’s behalf found in Schedule B;
Direction to Pay means the irrevocable order and direction to pay from the Borrower to EPMI, directing EPMI to pay to EMCLP all amounts owing to the Borrower under the SD PSA;

Examples of Direction to Pay in a sentence

  • Failure to Pay by Exchange – In the event of a Failure to Pay by Exchange which is not rectified by Exchange within three (3) Business Days from receipt of a notice of Failure to Pay by Exchange, Exchange shall immediately file with the Escrow Agent a Direction to Pay pursuant to, and as defined in, the Deposit Agreement and shall notify Contracting Party Payee(s) (as defined in the Deposit Agreement) of such Direction to Pay having been filed.

  • Aurizon may appoint an independent auditor nominated by it and approved by the Trustee (such approval not to be unreasonably withheld or delayed) ( DTP Auditor) to carry out audits in order to verify amounts paid into the Direction to Pay Account (DTP Audits).

  • The Total Direction to Pay Amount for a Month will be taken to have been paid by Aurizon to the Trustee by the due date for payment of the Monthly Invoice for that Month for the purpose of clause 7.1(b) (regardless of whether or not an Extension Access Agreement Customer or Specified Access Agreement Customer actually paid the applicable Direction to Pay Amount for that Month into the Direction to Pay Account as directed by Aurizon by the due date for payment).

  • If the amount paid into the Direction to Pay Account during the last Month in which Rent is payable by Aurizon to the Trustee under this Agreement exceeds the Rent for that Month (as specified in the Monthly Invoice for that Month), then, within five Business Days after the end of that Month, the Trustee must pay to Aurizon the amount by which the amount paid into the Direction to Pay Account during that Month exceeds the Rent for that Month (as specified in the Monthly Invoice for that Month).

  • Prior to the Initial Rent Month, the Trustee must establish, and maintain during the remainder of the Term, a separate bank account ( Direction to Pay Account), in the name of the Trustee, for the purpose of receiving payments which Aurizon directs, or is deemed to direct, Extension Access Agreement Customers and Specified Access Agreement Customers to pay under this clause 8.


More Definitions of Direction to Pay

Direction to Pay means Borrowers direction to pay all proceeds received by the Collection Account directly to Lender until the indefeasible repayment of the Indebtedness.

Direction to Pay means the direction from Opco to Purchaser for Purchaser to pay $20,000,000 at the Closing Time to Xxxx'x Furniture Limited, for and on behalf of Opco and in satisfaction of Opco’s payment obligation under the Payment Agreement, such payment to be an advance by Purchaser to Opco at the Closing Time. “Disclosure Letters” means (a) the Seller Disclosure Letter, and (b) the Purchaser Disclosure Letter. “Dispute” has the meaning specified in Section 9.4. “Disputed Amounts” has the meaning specified in Section 2.4(c)(iii). “Effective Time” means immediately prior to Closing. “Employee” means any full-time, part-time, seasonal or fixed-term employee of the Group Companies as of the date of execution of this Agreement, including any such employee on disability (long-term or short-term), workplace safety and insurance, pregnancy, parental or other statutory or approved leave, and specifically includes any employee who is transferred to a Group Company as contemplated in Section 5.3 of the Seller Disclosure Letter. “Escrow Funds” has the meaning specified in the CRA Holdback Escrow Agreement. “Estimated Closing Statements” has the meaning specified in Section 2.4(a)(i). “Estimated Closing TBV” has the meaning specified in Section 2.4(a)(i). “Estimated Closing Unrestricted Cash” has the meaning specified in Section 2.4(a)(i) “Estimated Purchase Price” has the meaning specified in Section 2.4(a)(v). “Existing LFL Agreement” means the Merchant Agreement dated May 26, 2021 (as amended), by and between Xxxx’x Furniture Limited, The Brick Ltd., The Brick Warehouse LP, by its general partner, The Brick GP Ltd., and Opco. “Final Determination” means either a binding written settlement or final non-appealable order, decree or judgment of a court of competent jurisdiction. “Final Purchase Price” has the meaning specified in Section 2.4(b)(i). “Financial Statements” means the Interim Financial Statements and the Audited Financial Statements, of which true, correct and complete copies have been provided to the Purchaser. “Flexiti Securitization Program” means the asset-backed securitization bond program of the Securitization Issuer, pursuant to which the Securitization Issuer may issue and sell bonds to investors from time to time in accordance with the terms of, inter alia, the Securitization Trust Indenture.
Direction to Pay means the Direction to Pay form attached to this Deed Poll;
Direction to Pay means the document by which the Council directs Canada to deposit the Compensation in accordance with Article 2.0, authorized by the corresponding Band Council Resolution for Payment, substantially in the form attached to this Settlement Agreement as Schedule 2.
