The board of directors of Direct Parent, in its capacity as sole stockholder of Merger Sub, has, and not subsequently rescinded, modified or withdrawn in any way: (i) determined that this Agreement and the transactions contemplated hereby, including the Merger, are advisable and fair to and in the best interests of Merger Sub and Direct Parent and (ii) authorized and approved this Agreement and the transactions contemplated hereby, including the Merger.
Upon the terms and subject to the conditions set forth in this Agreement and in accordance with the DGCL, at the Effective Time, Merger Sub shall be merged with and into the Company, the separate existence of Merger Sub shall cease, and the Company shall continue as the surviving corporation in the Merger (hereinafter referred to for the periods at and after the Effective Time as the “Surviving Corporation”) as a wholly-owned direct subsidiary of Direct Parent.
All of the issued and outstanding capital stock of Merger Sub is, and at the Effective Time will be, owned by Direct Parent.
