Developer Affiliate definition

Developer Affiliate means any corporation, limited liability company, partnership or other entity which controls, is controlled by, or is under common control with Developer, and “control,” for purposes of this definition, means effective management and control of the other entity, subject only to major events requiring the consent or approval of the other owners of such entity, as shown by copies of relevant portions of organizational documents of such entity and Developer.

Developer Affiliate means any subsidiary or holding company of the Developer or any subsidiary to any such holding company as "subsidiary" and "holding company" are defined in Section 1159 Companies Xxx 0000; Development Agreement means an agreement between the Developer and the Grant Recipient of the type contemplated in limb (a) of the definition of "Developer"; Development Costs means the costs relating to Site acquisition and Works in relation to a Named Project incurred or to be incurred by the Grant Recipient in relation to the heads of expenditure set out in Part 1 to Schedule 2 or such other heads of expenditure as the GLA may in its absolute discretion agree in respect of any Named Project provided that any costs falling within the heads of expenditure set out in Part 2 to Schedule 2 shall not be capable of being treated as Development Costs;

Developer Affiliate means an entity controlled by, or under common control with Developer such that it has either the same manager, members, partners or shareholders who shall own in aggregate, more than fifty percent (50%) of the ownership interests in Developer and also own more than fifty percent (50%) of the ownership interests in said Affiliate or an institutional investor(s) or a fund investing such investors assets; and as used herein, “control” shall mean the possession, direct or indirect, of the power to direct or cause the direction of the management and policies of a person or entity, whether through the ownership of voting securities or rights, by contract, or otherwise.

• Introduction to universal codes for residents and families will occur on admission and during orientation for new employees, volunteers, students and contract service providers.
