Developed Works definition

Developed Works means all work product (including software and its Externals) developed in the performance of this Agreement as described in a SOW and/or WA. Developed Works do not include Preexisting Materials, Tools, Program Products, or items specifically excluded in a SOW and/or WA.

Developed Works means any and all Works first created, made, developed, conceived, or reduced to practice, in whole or in part, by or on behalf of the Contractor, the Contractor’s agents or subcontractors, or any combination of the Contractor, the Contractor’s agents or subcontractors, and the State in connection with the performance of the Services, but excluding State Works, Contractor Works and Third Party Works.

Developed Works means the software code (including without limitation the application or integration) developed by Customer using the Developer Materials under the Customer Developer Agreement, which software code enables Customer Devices to access, communicate or interoperate with Rainbow service solely through ALE proprietary interface elements and/or application programmable interfaces (“API”).

Examples of Developed Works in a sentence

• Contractor further agrees that its subcontractors assign, and upon their authorship or creation, expressly and automatically assign and transfer all copyright interest, proprietary rights, trade secrets, and other right, title, and interest in and to the work products and Developed Works to the PLCB.

• Developed Works include all material necessary to exercise all attributes of ownership or of the license granted in, or in compliance with, Section 34, Proprietary Rights.

• Further, Customer shall comply with such laws and regulations governing use, export, re-export, and transfer of the Rainbow services, the Documentation and/or the Customer Devices including the Developed Works and will obtain all required local and extraterritorial authorizations, permits or licenses.

• The Contractor agrees that it will include terms sufficient to ensure compliance with this Section by Contractor and subcontractor in any subcontractor or other agreement with third parties who in any way participate in the creation or development of work products or Developed Works.

• Subject to the provisions of this Agreement (including without limitation the conditions set forth in Section 4 (Restrictions), ALE grants to Customer a personal, non-exclusive, non-transferable, terminable right to use and/or have Users using the Rainbow services in connection with the Customer Devices embedding the Developed Works for the term of this Agreement as specified below.

More Definitions of Developed Works

Developed Works means Works created, made, or developed by Vendor or Vendor Contractors, either solely or jointly with the AOC Group or AOC Contractors, in the course of the performance of the Services under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Vendor Works, and (iii) all drafts and final copies of Deliverables; provided, however, that Developed Works do not include Vendor Works.

Developed Works means those Works created, produced, generated or otherwise developed for or delivered to Capital One by or on behalf of First Data (alone or with Capital One or third parties) in the course of First Data’s performance of Services under this Agreement and any and all derivative works thereof. Developed Works include derivative works of Capital One Works (except as excluded below), First Data Works and Third Party Works provided by First Data only to the extent created, produced, generated or otherwise developed for or delivered to Capital One by or on behalf of First Data (alone or with Capital One or third parties) in the course of First Data’s performance of Services under this Agreement. Developed Works do not include derivative works of Capital One Competitive Works and Inventions or Third Party Works provided by Capital One.

Developed Works means Deliverables including their Externals, developed in the performance of this Agreement that Buyer will own, and does not include Licensed Works, Preexisting Materials, Tools, or items specifically excluded in a SOW.

Developed Works means Works created, made, or developed by Contractor or Subcontractors, either solely or jointly with the Judicial Branch Entities or JBE Contractors, in the course of the performance of the Services under this Agreement, and all Intellectual Property Rights therein and thereto, including, without limitation, (i) all work-in-process, data or information, (ii) all modifications, enhancements and derivative works made to Contractor Works, and (iii) all Deliverables; provided, however, that Developed Works do not include Contractor Works.

Developed Works means any Works made, conceived or reduced to practice for or on behalf of the AOC by Contractor or Contractor Agents, either solely, or jointly with the AOC Group or AOC Agents, in connection with performance of the Services hereunder, exclusive of Contractor Works. Notwithstanding anything to the contrary set forth herein, Developed Works also shall include the subject matter of the AOC Works.

Developed Works. (i) means all work product (including object and source code of software) and Inventions developed pursuant to this Base Agreement as described in a SOW, and (ii) does not include (x) Preexisting Materials, Tools, Program Products or (y) other items specifically excluded from the definition of "Developed Works" in a SOW.

Developed Works means Deliverables developed in the performance of this Agreement that Buyer will own.
