The “Adjusted Value Share Payment” is the Value Share Payment (a) plus any Value Share Appreciation, or minus any Value Share Depreciation, and minus any Termination Payment, and any other fees due to any Acre Entity under any Residency Agreement.
If a distribution is made in kind, immediately prior to such distribution, the General Partner shall determine, in its discretion, the fair value of the property distributed and adjust the Capital Accounts of all Partners upwards or downwards to reflect the difference between the book value and the fair value thereof, as if such gain or loss had been recognized upon an actual sale of such property and allocated pursuant to Section 5.04 (Allocation of Net Capital Appreciation or Net Capital Depreciation).

At the end of each Accounting Period, each Capital Account shall be increased or decreased by the amount credited or debited to such Capital Account pursuant to Section 5.04 (Allocation of Net Capital Appreciation and Net Capital Depreciation) and Section 5.05 (Special Allocations).
