Delisting Event definition
Delisting Event means any time during the term of this Investment Agreement, that the Company's Common Stock is not listed for and actively trading on the O.T.C. Bulletin Board, the Nasdaq Small Cap Market, the Nasdaq National Market, the American Stock Exchange, or the New York Stock Exchange or is suspended or delisted with respect to the trading of the shares of Common Stock on such market or exchange.
Delisting Event occurs if the American Depositary Shares are delisted from a securities exchange on which the American Depositary Shares were listed and the Company has not listed or applied to list the American Depositary Shares on any other securities exchange.
Delisting Event means any time during the term of this Agreement, that the Common Stock is not listed for and actively trading on a Trading Market, or is suspended or delisted with respect to the trading of shares of the Common Stock on a Trading Market.
Examples of Delisting Event in a sentence
Upon the occurrence of a Delisting Event, the Sponsor shall have a period of thirty (30) calendar days (the “Delisting Cure Period”) to cure such Delisting Event by taking all commercially reasonable actions necessary to re‑establish the listing and trading of the Public Shares on Nasdaq or another national securities exchange, or the quotation of the Public Shares on OTCQX, OTCQB or OTCID (or any successor market thereto).
More Definitions of Delisting Event
Delisting Event means an event or circumstance as a result of which the Company is no longer publicly traded with its shares of Class A common stock listed on the NASDAQ Global Market.
Delisting Event means, with respect to a Reference Share, that such Reference Share ceases to be listed, traded or publicly quoted on the Exchange for such Reference Share (for any reason other than a Merger Event with respect to such Reference Share) and is not immediately re-listed, re-traded or re-quoted on an exchange or quotation system located in the same country as such Exchange; or with respect to a Reference Share that is an ADR, if the Deposit Agreement for such ADR is terminated.
Delisting Event means an event or circumstance in connection with or following a Time Warner Transaction whereby the Company is no longer publicly traded with its shares of Class A common stock listed on the NASDAQ Global Market.
Delisting Event means, following an Equity Listing Event, (i) the delisting of the shares in the Issuer from a Regulated Market or (ii) trading in the ordinary shares of the Issuer on the relevant Regulated Market is suspended for a period of fifteen (15) consecutive Business Days (when that Regulated Market is at the same time open for trading).
Delisting Event means an event which shall be deemed to have occurred if the Shares cease to be listed, traded or publicly quoted on the Principal Market on which Shares are listed as of such date, and shall continue until such Shares are relisted or requoted on either the New York Stock Exchange, the NYSE American, the NASDAQ Global Select Market, the NASDAQ Global Market, the NASDAQ Capital Market or, in each case, any successor thereto (each, a “Principal Market”).
Delisting Event shall have the meaning provided in the Articles Supplementary.
