On the Delayed Draw Date, (a) the Affiliate Purchase shall be consummated simultaneously with the funding of the Delayed Draw Amount and (b) the Joint Lead Arrangers shall receive all fees, costs and expenses owing to them, including, without limitation, pursuant to the terms of their fee letter with the Borrower, dated January 8, 2007.
