DEFS definition

DEFS means Duke Energy Field Services L.L.C., its members, managers, employees, agents, representatives, predecessors, successors, and assigns; its joint ventures, subsidiaries, divisions, groups and affiliates controlled by Duke Energy Field Services L.L.C., and the respective directors, officers, employees, agents, representatives, successors, and assigns of each.
DEFS means Duke Energy Field Services, LP, a Delaware limited partnership.

"DEFS Property Tax" shall have the meaning given such term in Section 12.3(a).
DEFS means Duke Energy Field Services, a Delaware limited liability company, as it may be restructured as a result of the transactions and actions contemplated in this term sheet. “DEFS LLC Agreement” means the Amended and Restated Limited Liability Company Agreement of Duke Energy Field Services, LLC, dated March 31, 2000, between Xxxxxxxx Gas Company and Duke Energy Field Services Corporation, as amended. “Duke” means Duke Energy Corporation, a Delaware corporation. “Parents” and “parties” means COP and Duke. “Settlement Agreement” means the Stipulation of Settlement and Agreement, between El Paso Natural Gas Company, Conoco Inc. and Tenneco Inc. dated May 9, 1984, as amended April 5, 1985. “TEPPCO” means Texas Eastern Pipeline, LLC, the GP of TEPPCO Partners LP.

  • Atlas means Automated Transportation Logistics Activity System. ATLAS is a computerized information system to which all Shippers have access upon request. ATLAS enables Shippers to nominate and release product and to monitor and coordinate the movement of Petroleum Products while on Carrier's system.

  • Partnership Parties has the meaning assigned to such term in the preamble.

  • Partnership Entities means the General Partner and each member of the Partnership Group.

  • MLP GP means any general partner of any MLP and any general partner of the general partner of any MLP.

  • Operating Partnership has the meaning set forth in the preamble.

  • Partnership Group means the Partnership and its Subsidiaries treated as a single consolidated entity.

  • Contributors means any organization(s), entity(ies) and/or individual(s) providing technology and/or patent rights related to the ATCC Material, or original material to ATCC for deposit.

  • Partnership Subsidiary means Host LP and any partnership, limited liability company, or other entity treated as a partnership for federal income tax purposes or disregarded as a separate entity for federal income tax purposes in which either Host REIT or Host LP owns (or owned on or after January 1, 1999) an interest, either directly or through one or more other partnerships, limited liability companies or other entities treated as a partnership for federal income tax purposes or disregarded as a separate entity for federal income tax purposes (whether or not Host REIT or Host LP has a controlling interest in, or otherwise has the ability to control or direct the operation of, such entity). Notwithstanding the foregoing, the term “Partnership Subsidiary” shall not in any way be deemed to include the Non-Controlled Subsidiaries or subsidiaries thereof, the Taxable REIT Subsidiaries or subsidiaries thereof, or the Subsidiary REITs or subsidiaries thereof.

  • Company Parties means the collective reference to Holdings and its Restricted Subsidiaries, including the Borrower, and “Company Party” means any one of them.

  • Buyer Group Member means the Buyer, its Affiliates, and each of their successors and assigns, and their respective directors, officers, employees and agents.

  • EXCO means EXCO Resources, Inc., a Texas corporation.

  • Buyer Group has the meaning set forth in Section 15.1.
