Definitive Security definition
Definitive Security means a certificated Initial Security or Exchange Security (bearing the Restricted Securities Legend if the transfer of such Security is restricted by applicable law) that does not include the Global Securities Legend.
Definitive Security means a security other than a Global Security or a temporary Security.
Definitive Security means a certificated Security registered in the name of the Securityholder thereof and issued in accordance with Section 2.05.
Examples of Definitive Security in a sentence
Any Definitive Security delivered in exchange for an interest in a Security that bears or is required to bear a Restricted Securities Legend shall bear the applicable Restricted Securities Legend and Definitive Securities Legend set forth in Exhibit A-1 hereto.
A Definitive Security may not be exchanged for a beneficial interest in a Rule 144A Global Security or a Regulation S Global Security except upon satisfaction of the requirements set forth below.
More Definitions of Definitive Security
Definitive Security means a certificated Initial Security bearing the restricted securities legend set forth in Section 2.3(d) and which is held by an IAI in accordance with Section 2.1(c).
