Deemed Exercise Date definition

Deemed Exercise Date means the earlier of:

• A notice in form acceptable to the Book Entry Only Participant from such beneficial holder should be provided to the Book Entry Only Participant sufficiently in advance so as to permit the Book Entry Only Participant to deliver notice to the Depository and for the Depository in turn to deliver notice to the Special Warrant Agent prior to the Deemed Exercise Date.

• Any Special Warrant with respect to which a Transaction Instruction or Book Entry Exercise Confirmation is not received by the Special Warrant Agent before the Deemed Exercise Time on the Deemed Exercise Date shall be deemed to have expired and become void and all rights with respect to such Special Warrants shall terminate and be cancelled except for the right to receive a Unit in accordance with Section 5.3 of this Indenture.

• Any exercise notice, Transaction Instruction or Book Entry Exercise Confirmation received by the Special Warrant Agent after business hours on any Business Day other than the Deemed Exercise Date will be deemed to have been received by the Special Warrant Agent on the next following Business Day.

• Exercise notices, Transaction Instructions and Book Entry Exercise Confirmations must be delivered to the Special Warrant Agent at any time during the Special Warrant Agent’s actual business hours on any Business Day prior to the Deemed Exercise Date.

• Any exercise referred to in this Section 5.2 shall require that the original exercise form or other Transaction Instruction executed by the Special Warrant holder or the Depository must be received by the Special Warrant Agent prior to the Deemed Exercise Date.

More Definitions of Deemed Exercise Date

Deemed Exercise Date means, with respect to the deemed exercise of the Special Warrants by the holder thereof pursuant to subsection 4.2(1), the date on which the Special Warrants are so deemed to have been exercised as provided in such subsection;

Deemed Exercise Date means the date that is the earlier of: (i) the fifth business day after the date on which the Final Receipt has been issued; and (ii) October 28, 2017, at which time each Special Warrant and Corporate Finance Fee Special Warrant shall be automatically exercised into one Qualified Share or one Corporate Finance Fee Share, respectively, subject to adjustment in certain circumstances, without payment of any additional consideration and without any further action on the part of the holder.

Deemed Exercise Date means the date the Special Warrants are deemed to be exercised;
