Deemed Date definition

Deemed Date shall have the meaning assigned to such term in Section 6.01.

Deemed Date means the last day of the month immediately preceding the month which includes the Closing Date; provided, however, that if the Closing Date is the last day of a month, the "Deemed Date" means the Closing Date.
