Further, nothing in this Agreement shall be deemed to require the Fund to take any action contrary to the Fund’s Declaration of Trust or By-Laws, as may be amended or restated, or to relieve or deprive the Board of Trustees of the Fund of its responsibility for and control of the conduct of the affairs of the Fund.
The Adviser also will manage, supervise and conduct such other affairs and business of the Fund and matters incidental thereto, including, without limitation, providing ongoing oversight of the Fund’s key service providers, subject always to the control of the Board and to the provisions of the Agreement and Declaration of Trust of the Fund (“Declaration of Trust”), the Fund’s By‑Laws and the 1940 Act.
The Sub-Adviser also will manage, supervise and conduct such other affairs and business of the Fund and matters incidental thereto, as the Sub-Adviser and the Fund agree, subject always to the control of the Board and to the provisions of the Fund’s Declaration of Trust, the Fund’s By‑Laws, and the 1940 Act.
The foregoing valuation determinations shall be made in accordance with the valuation policies and procedures of the Fund as are then in effect and in accordance with applicable provisions of the Fund’s Declaration of Trust, as may be amended from time to time.
The term "▇▇▇▇▇▇ CLO Opportunities Fund" means and refers to the Trustees from time to time serving under the Declaration of Trust of the Fund dated December 3, 2025, as the same may subsequently thereto have been, or subsequently hereto be amended.
