Debentures definition
Examples of Debentures in a sentence
The Incentive Shares shall be issued to the individual Holders based on their pro rata share of the funding of the Debentures.
Further, the Company shall not make any payment of principal or interest on the Debentures in amounts which are disproportionate to the respective principal amounts outstanding on the Debentures at any applicable time.
The issuance and sale of the Debentures will not obligate the Company or any Subsidiary to issue shares of Common Stock or other securities (including the Debentures) to any Person (other than the Purchasers) and will not result in a right of any holder of Company securities to adjust the exercise, conversion, exchange or reset price under any of such securities.
This Debenture is exchangeable for an equal aggregate principal amount of Debentures of different authorized denominations, as requested by the Holder surrendering the same.
The Debentures are duly authorized and, when issued and paid for in accordance with the applicable Transaction Documents, will be duly and validly issued, fully paid and nonassessable, and free and clear of all Liens imposed by the Company.
