The Trustee in its individual capacity shall not be answerable or accountable under any circumstances except for its own willful misconduct or negligence or breach of any of its representations or warranties set forth herein, and the Trustee shall not be liable for any action or inaction of the Issuer or any other parties to any of the Deal Documents.
In addition, the Trustee shall enter into such other Deal Documents on the Closing Date to which it is party.
Nothing in this Amendment shall be construed to imply any willingness on the part of the Trustee or the Noteholders to agree to or grant any similar or future amendment, consent or waiver of any of the terms and conditions of the Indenture or the other Deal Documents.
The Trustee shall have no duty to monitor the performance of the Issuer, the Servicer or any other party to the Deal Documents, nor shall it have any liability in connection with the malfeasance or nonfeasance by such parties.
All approvals, authorizations, consents, orders or other actions of any Person, corporation or other organization, or of any court, governmental agency or body or official, required in connection with the execution, delivery and performance of the Deal Documents, have been received or taken, as the case may be.
