De Minimis Threshold definition

De Minimis Threshold means the ceiling on Relevant Aid provided under the De Minimis Block Exemption to a Relevant Enterprise as more particularly set out in the De Minimis Disclosure Form.

• If Cash Tender Purchases are made in Q1 and Q2, then in the subsequent quarter (" Q3"), even if the aggregate value of both: (1) the Cash Tender Purchases made in Q1 and Q2; and (2) the Tender Requests in Q3, remains at or below the De Minimis Threshold, a pro rata redemption of Company Investment Vehicle Interests must then be made in order to satisfy the Realisation Condition with respect to the Cash Tender Purchases made in Q1 and Q2 and the Tender Purchases to be made in Q3.

De Minimis Threshold means any condition or set of conditions, including any maximum Initial Dollar Principal Amount of Notes, or any maximum period of time since the last issuance of Notes in which all of the conditions of Section 310 of the Indenture have been satisfied, for which the applicable Note Rating Agencies agree that an issuance that does not exceed such maximum does not require compliance with the conditions of Section 310 of the Indenture.
