Without notice to or assent by any Assignor, the Collateral Agent may apply any or all amounts then in, or thereafter deposited in, the DB Account in the manner provided in Section 7.4 of this Agreement.
No Loan Party shall establish or maintain any deposit accounts or securities accounts, other than (i) for no more than thirty (30) days after the Closing Date, the DB Account, and (ii) the accounts permitted to exist under the Depositary Agreement or as otherwise permitted under the Loan Documents (including accounts established in connection with the granting of the Liens described in clause (q) of the definition of “Permitted Liens”).
