Data Center Lease definition

Data Center Lease means the Leases listed on Schedule 1.01(d) and any lease of a data center entered into by a Loan Party after the Closing Date (other than pay-as-you-go or partner site leases).
Data Center Lease means any master service agreement, colocation agreement, lease, sublease or similar Contract (including service or similar orders thereunder) in respect of the HPC Segment, in each case, that has been executed as of the Effective Date or the Closing Date (including the ELN-A Lease and any other Specified Lease), to which any of the Group Companies or, if related to the Business, any member of the APLD Group is a party and by which any of the Group Companies or member of the APLD Group, as applicable, grants or proposes to grant a Person a leasehold estate, leasehold interest, subleasehold estate, sublease interest, license or the right to use or occupy space in, or to receive power or ancillary services related to, any high performance computing data center.
Data Center Lease means any master service agreement, colocation agreement, lease, sublease, license or other Contract or Real Property Lease (including service or similar orders thereunder) in respect of the HPC Segment to which Parent or any of the Transferred Subsidiaries grants or agrees to grant a Person a leasehold estate, leasehold interest, subleasehold estate, sublease interest, license or the right to use or occupy space in, or to receive power or ancillary services related to, any high performance computing data center, together with all amendments, guarantees and modifications thereto.

Examples of Data Center Lease in a sentence

  • No Company is in default under any provision of any lease agreement to which it is a party with respect to any Data Center Lease, where such default could reasonably be expected to result in a Material Adverse Effect.

  • Such Loan Party shall promptly deliver to the Collateral Agent (and in any event within thirty (30) Business Days as may be extended with the consent of the Required Lenders in their sole discretion) a Landlord Access Agreement with respect to each Data Center Lease (unless the applicable Loan Party shall have used all commercially reasonable efforts to obtain, but failed to obtain, such Landlord Access Agreements within such 30 Business Day period).

  • Notwithstanding the foregoing, if mutually agreed by the parties, the Data Center Lease and the Office Space Lease may be consolidated into a single, comprehensive lease agreement demising the Seller’s Leased Premises to Seller.

  • The initial term of the Data Center Lease shall expire on March 24, 2015, with no extension options.

  • Buyer acknowledges receipt of a draft Flex Space Lease and a draft Data Center Lease from Seller.

Data Center Lease means that certain Master Lease Agreement by and between Client and Meadowbrooke Business Park Associates, Limited Partnership, dated October 3, 1990, as amended by The First Amendment To The Lease, dated September 20, 1991, and again amended by The Addendum To Office/Warehouse Lease, dated August 19, 1992; a correct and complete copy of said documents has been furnished by Client to AC.
