No Company is in default under any provision of any lease agreement to which it is a party with respect to any Data Center Lease, where such default could reasonably be expected to result in a Material Adverse Effect.
Such Loan Party shall promptly deliver to the Collateral Agent (and in any event within thirty (30) Business Days as may be extended with the consent of the Required Lenders in their sole discretion) a Landlord Access Agreement with respect to each Data Center Lease (unless the applicable Loan Party shall have used all commercially reasonable efforts to obtain, but failed to obtain, such Landlord Access Agreements within such 30 Business Day period).
Notwithstanding the foregoing, if mutually agreed by the parties, the Data Center Lease and the Office Space Lease may be consolidated into a single, comprehensive lease agreement demising the Seller’s Leased Premises to Seller.
The initial term of the Data Center Lease shall expire on March 24, 2015, with no extension options.
