D Shares definition

D Shares means ‘D’ ordinary shares of £0.05 each in the capital of the Company;
D Shares means the shares to be issued by the Company for the purposes of funding the Distribution System of the Company;
D Shares means the convertible shares of £0.10 each in the capital of the Company.

  • All classes of shares have identical voting, dividend, liquidation and other rights and the same terms and conditions, except that Class B, Class C and Class D Shares bear certain expenses related to the account maintenance of such shares, and Class B and Class C Shares also bear certain expenses related to the distribution of such shares.

  • In such case, the holders of Class D Shares and of all such other shares then entitled so to vote, voting as a class, shall elect such directors.


More Definitions of D Shares

D Shares means 19 929 012 ordinary no par value shares in the stated capital of the Company, which will be held at the Effective Date by the Ukhamba Trust, BEE Compliant Persons (as defined in paragraph 1.7 of Schedule 1) (approximately 88.7% thereof) and the IUC Trust (approximately 11.3% thereof),comprising 53.1% of the aggregate of the "D" Shares and the "E" Shares, the terms and conditions of which shall be governed by Schedule 4 hereto;
D Shares means the unissued D Shares in the Company, the rights of which are as set out in the Articles and which will be as set out in the New Articles, which as at the date of this document are owned by the Company (having been repurchased);
D Shares has the meaning set forth in Section 2.02.
D Shares means Series D Shares, without par value, of the Issuer. As of the date hereof, D-Shares are divided into subseries D-B Shares and D-L Shares.
D Shares means the unlisted preference shares of 0.5 pence each in the capital of the Company carrying the rights and restrictions set out in the current articles of association of the Company;
D Shares means the D Shares of 0.5 pence each in the capital of the Company carrying the rights and restrictions set out in these Articles;
