Customer IP definition

Customer IP means Customer’s pre-existing Intellectual Property.
Customer IP means only that IP which meets all of the following conditions relative to a particular Statement of Work: it is (i) previously owned by Customer, (ii) existing in materials provided by Customer to ImageSoft for purposes of the Statement of Work, (iii) included within a Deliverable provided pursuant to the Statement of Work, and (iv) identified with specificity in the Statement of Work, with such identifying provision expressly referencing this Master and such identifying provision being initialed by the CEO of ImageSoft. For the avoidance of doubt, Customer will have no rights to claim such content as Customer IP unless such IP satisfies each of the conditions of this Section.
Customer IP means (i) all Intellectual Property and Intellectual Property Rights that are in existence and owned by Customer as of the Effective Date, and (ii) any Intellectual Property or Intellectual Property Right that is supplied or independently developed solely by Customer without the use and/or benefit of, and that does not relate to or arise out of, any of Aternity’s Intellectual Property, Intellectual Property Rights, Confidential Information, or Software.

Examples of Customer IP in a sentence

  • As between Customer and Critical Start, Customer will own all right, title and interest in and to (i) Customer Data, (ii) Customer IP, (iii) Customer Reports, (iv) all confidential or proprietary information of Customer or Customer Affiliates, including other Customer files, documentation and related materials, in each case under this subsection (iv), obtained by Critical Start in connection with this Agreement.

  • Excluding any Customer IP, Impero shall own all Intellectual Property created as part of providing the Services or contained in the Deliverables.

  • You represent and warrant that you have all rights in the Customer IP necessary to grant this license, and that Impero’s use of such Customer IP shall not infringe on the Intellectual Property rights of any third party.

  • Nothing in this Agreement will be construed as to preclude Aternity from developing, using, marketing or otherwise exploiting products, services, software or other Intellectual Property that may be competitive with any Deliverables prepared for Customer hereunder, irrespective of whether such Intellectual Property is similar or related to the Deliverables developed under this Agreement, provided that Aternity does not use or reference any Customer IP in such activities.

  • As between the parties, Customer owns all right, title and interest in and to the Customer IP and Aternity owns all right, title and interest in and to the Aternity IP.


More Definitions of Customer IP

Customer IP has the meaning set forth in Section 13(a) of Schedule 3 attached hereto. “directly or indirectly” means directly, or indirectly through one or more intermediate Persons or through contractual or other arrangements, and “direct or indirect” has the correlative meaning.
Customer IP means all intellectual property belonging to a customer.
Customer IP means any and all Intellectual Property contained within, covering or protecting any Technology, component, device, module or Software provided by or on behalf of the Identified Customer to Seller, its Affiliates or the Asset Selling Entities for use in the Retained Business.
Customer IP means the Intellectual Property Rights of Customer, including all Customer Systems.
Customer IP means all Customer (or agent of Customer) originating intellectual property specifically identified as such to OTS in writing, which for clarity does not include Products and OTS Property.
Customer IP means the intellectual property that is owned, controlled, licensed or developed by or for Customer or its Affiliates that is necessary for Thermo Fisher to manufacture the Custom Products, as specified in the Quote (if applicable).
Customer IP means the Intellectual Property exclusively owned by CUSTOMER.
