Custom Deliverables definition
Custom Deliverables means the product that Contractor is required to design, develop, or customize and deliver to the Eligible User as specifically described under this Contract or an associated statement of work for which all interest and title shall be transferred to and owned by the Eligible User. This includes every invention, design, development, customization, improvement, process, software program, work of authorship, documentation, formula, datum, technique, know how, or intellectual property right whatsoever or any interest therein (whether patentable or not patentable or registerable under copyright or similar statutes or subject to analogous protection) that is specifically made, conceived, discovered, or reduced to practice by Contractor pursuant to this Contract.
Custom Deliverables means the product that Contractor is required to design, develop, or customize and deliver to DTS as specifically described under this Contract or an associated statement of work for which all interest and title shall be transferred to and owned by DTS. This includes every invention, design, development, customization, improvement, process, software program, work of authorship, documentation, formula, datum, technique, know how, or intellectual property right whatsoever or any interest therein (whether patentable or not patentable or registerable under copyright or similar statutes or subject to analogous protection) that is specifically made, conceived, discovered, or reduced to practice by Contractor pursuant to this Contract.
Custom Deliverables is defined in Section 3.15 of the Master Services Agreement.
Examples of Custom Deliverables in a sentence
Custom Deliverables, not including Contractor’s Intellectual Property Rights, Background IP, and Residual IP, may not be marketed or distributed without written approval by the Eligible User.
Contractor agrees to grant to the Eligible User a perpetual, irrevocable, royalty-free license to use Contractor’s Background IP, Utilities, and Residual IP, as defined above, solely for the Eligible User and the State of Utah to use the Custom Deliverables.

Contractor acknowledges that all Goods and Custom Deliverables that it licenses, contracts, or sells to DTS under this contract are accessible to people with disabilities.

This includes every invention, design, development, customization, improvement, process, software program, work of authorship, documentation, formula, datum, technique, know how, or intellectual property right whatsoever or any interest therein (whether patentable or not patentable or registerable under copyright or similar statutes or subject to analogous protection) that is specifically made, conceived, discovered, or reduced to practice by Contractor pursuant to this Contract.
Custom Deliverables means the product that Contractor is required to design, develop, or customize and deliver to USBE as specifically described under this Contract or an associated statement of work for which all interest and title shall be transferred to and owned by USBE. This includes every invention, design, development, customization, improvement, process, software program, work of authorship, documentation, formula, datum, technique, know how, or intellectual property right whatsoever or any interest therein (whether patentable or not patentable or registerable under copyright or similar statutes or subject to analogous protection) that is specifically made, conceived, discovered, or reduced to practice by Contractor pursuant to this Contract.
Custom Deliverables means the specifications, design documents, flow charts, software programs, documentation, reports and other similar work product that Accenture develops for delivery specifically for Client pursuant to the applicable SOW; provided, however, that Custom Deliverables excludes any Accenture-Provided Intellectual Property. Any such Accenture-Provided Intellectual Property will be subject to Section 5.4. Unless otherwise provided for in the applicable SOW, and subject to any restrictions of any third-party materials and Section 5.4 below, Custom Deliverables shall be Client’s sole and exclusive property. Accenture hereby assigns to Client without further consideration Accenture’s rights in and to such Custom Deliverables (excepting any Accenture-Provided Intellectual Property). This may include an invention, design, development, customization, improvement, process, software program, work of authorship, documentation, formula, datum, technique, or intellectual property right whatsoever or any interest therein (whether patentable or not patentable or registerable under copyright or similar statutes or subject to analogous protection) that is specifically made, conceived, discovered, or reduced to practice by Contractor pursuant to this Contract.
Custom Deliverables means works of authorship fixed in any tangible medium of expression by Service Provider or its officers, employees, agents or subcontractors in the course of performing the Services under this Agreement, including, but not limited to, computer programs, electronic art, computer generated art, notes, specifications, drawings, flow charts, memoranda, correspondence, records, notebooks, documentation, reports and charts, regardless of the medium in which they are fixed, and all copies thereof identified in a SOW or Change Order as being specifically developed as material to be solely owned by City/County.
Custom Deliverables means Custom Integration Code and design documents, training materials, business process flows, software testing plans and other deliverables that are identified in a SOW and are created as part of the Services on a custom basis specifically and solely for Client, and that are delivered to Client by Company in accordance with this Agreement. Client may not seek, and it must prohibit its employees and other persons from seeking, Intellectual Property Rights protection for Company IP. Client and its employees have no right to disclose or use the Intellectual Property Rights of Customer for any purpose whatsoever, except in accordance with this Agreement. Client hereby assigns the Company all of its present and future rights, title and interest in and to Company IP, created or otherwise developed by Client or any of its resources in accordance with this Agreement, and Client shall obtain all rights in the Company IP held by its resources, as required for the purpose of this assignment. Upon Company’s request, Client shall, and shall cause its resources to, promptly take such further actions, including execution and delivery of all appropriate instruments of conveyance, as may be necessary to assist Company to prosecute, register, perfect or record its rights in or to any Company IP. Client shall notify Company in writing and in a timely manner of infringement, potential infringement, or any act of unfair competition on the part of any third-party, relating to Company IP or other Intellectual Property Rights of the Company. Company grants Client a non-exclusive, revocable, non-sublicensable license right to use the Company IP provided to it by Company in accordance with the terms of this Agreement during the term of the intellectual property rights in such Company IP. Client shall not use any Residual Information for any purpose whatsoever, including without limitation, the development of its own products or business. For the purposes of this Agreement, “Residual Information” shall mean any Confidential Information which may be retained in intangible form in the minds of those employees, agents, authorized users or representatives of Client, or any other person, who have had access to such Confidential Information. Custom Deliverables means Deliverables that are not standard or normal to the Supplying Party’s product or service offering and which are specifically created, designed, developed or performed for or on behalf of the Purchasing Party (including whether as a work for hire or as a commissioned work) by the Supplying Party according to Specifications provided by the Purchasing Party, and for which the Supplying Party has no right to make or have made or sell or have sold except for and to the Purchasing Party.
