Cushion definition

Cushion means, for each Business Day until the Termination Date, the greater of (a) $0 and (b) the Adjusted Cushion Amount minus the net loss (or plus the net gain) on all transactions of the Fund in respect of Investments and Other Investment Positions made, entered into or terminated on such Business Day solely to the extent that such net losses (or net gains) are not otherwise included in the Aggregate NAV of the Fund.
Cushion has the meaning provided in Section 3.3(a).
