Current Financials definition

Current Financials means, at any time, the consolidated Financial Statements of the Companies most recently delivered to Administrative Agent under Section 7.1(a) or 7.1(b), as the case may be.

Current Financials means (a) the most recent annual audited consolidated balance sheet of Borrower and the related consolidated statements of operations and cash flow delivered to Banks hereunder, and (b) the most recent quarterly unaudited consolidated balance sheet of Borrower and the related consolidated statements of operations and cash flow delivered to Banks hereunder.

• Except for transactions directly related to, or specifically contemplated by, the Loan Papers, no subsequent Material Adverse Event has occurred in the consolidated financial condition of the Companies from that shown in the Current Financials, nor has any Company incurred any subsequent material liability.

• The Current Financials were prepared in accordance with GAAP and present fairly, in all material respects, the consolidated financial condition, results of operations, and cash flows of the Companies as of, and for the portion of the fiscal year ending, on the date or dates thereof (subject only to normal year-end adjustments).

More Definitions of Current Financials

Current Financials means, as of any day, the financial statements and other related information for any applicable period most recently required to be delivered to the Administrative Agent pursuant to Section 5.01(a), Section 5.01(b) and Section 5.01(c).

Current Financials means Contributor’s internally prepared, un-audited financial statements in the form required by Manufacturer, for the fiscal year ended December 31, 2017, December 31, 2018, and December 31, 2019, December 31, 2020 (when available) and each of the completed months thereafter through the Closing Date.

Current Financials means the Financial Statements of the Company and its Subsidiaries for the fiscal year ended December 31, 2015.

Current Financials means, unless otherwise specified, either (a) the Borrower's consolidated Financials for the year ended December 31, 2000, or (b) at any time after annual Financials are first delivered under Section 8.1, the Borrower's annual Financials then most recently delivered to the Lenders under Section 8.1(a), together with the Borrower's quarterly Financials then most recently delivered to the Lenders under Section 8.1(b).

Current Financials means, when determined, the consolidated financial statements of Borrower most recently delivered to the Administrative Agent in accordance with Section 8.1.

Current Financials means the audited consolidated balance sheets of Borrower as of the end of the Fiscal Year ending December 31, 2018 (but solely with respect to Borrower and its Subsidiaries constituting Consolidated Subsidiaries upon giving effect to the Initial Public Offering) and the related consolidated statements of income and cash flows for such Fiscal Year, all reported on by KPMG LLP.

Current Financials means the consolidated Financial Statements of the Companies for the fiscal year ended December 31, 2011.
