The monies of such Trust Account are invested in United States Government securities or money market funds meeting certain conditions under Rule 2a-7 promulgated under the Investment Company Act of 1940, as amended, and held in trust by CST, as trustee, pursuant to that certain Investment Management Trust Agreement, dated as of May 5, 2022, between Cartesian and CST (the “Trust Agreement”).
C▇▇▇▇▇▇▇▇ has complied in all material respects with the terms of the Trust Agreement and is not in breach thereof or default thereunder and there does not exist under the Trust Agreement any event which, with the giving of notice or the lapse of time, would constitute such a breach or default by Cartesian or CST.
Upon issuance in accordance with, and payment pursuant to, the terms hereof, the rights agreement to be entered into with CST on or prior to the closing of the IPO (the “Rights Agreement”) and the Amended and Restated Memorandum and Articles of Association of the Company, as the case may be, each of the Rights and the Ordinary Shares will be duly and validly issued, fully paid and non-assessable.
