Coverage Ratio Exception definition

Coverage Ratio Exception has the meaning set forth in the proviso in the first paragraph of Section 4.06.

  • Any item of Indebtedness entitled to be incurred pursuant to the Coverage Ratio Exception and classified by the Issuer within such type of Indebtedness shall retain such classification (and the amount thereof shall not be counted in the determination of the amount of Indebtedness under any of clauses (1) through (16) of Section 4.07(b)) notwithstanding that the Coverage Ratio Exception is not available at any later time.

  • For purposes of determining compliance with this Section 4.10, in the event that an item of Indebtedness meets the criteria of more than one of the Sections 4.10(b)(i) through (xix) above or is entitled to be incurred pursuant to the Coverage Ratio Exception, Parent shall, in its sole discretion, classify (or later reclassify) such item of Indebtedness in any manner that complies with this Section 4.10.

  • In reaching such conclusion, each of the Buyer and the Company agree to use reasonable best efforts to deliver to the other such additional information as may reasonably be requested to confirm the Chief Financial Officer’s conclusions regarding the Company Coverage Ratio Exception after the Closing.

  • The Issuer shall not, and shall not permit any Restricted Subsidiary to, directly or indirectly, incur any Indebtedness; provided that the Issuer or any Guarantor may incur additional Indebtedness if, after giving effect thereto, the Consolidated Fixed Charge Coverage Ratio would be at least 2.00 to 1.00 (the "Coverage Ratio Exception").
