At or before the Second Court Hearing, M2 and Vocus will each provide to the Court certificates, or such other evidence as the Court requests, confirming (in respect of matters within their knowledge) whether or not the conditions precedent to this Scheme (other than the conditions precedent in clauses 3.1(c) and 3.1(d) above and the condition precedent in clause 3.1(j) of the Merger Implementation Agreement) have been satisfied or waived as at 8.00am on the Second Court Date.
M2 represents and warrants to Vocus (on its own behalf and separately as trustee for each of its Related Bodies Corporate and Authorised Persons) each of the matters set out in clause 8.3(b) as at the date of this agreement and on each subsequent day until 8.00am on the Second Court Date (except that where any statement is expressed to be made only at a particular date it is given only at that date).
No Prescribed Occurrence occurs between the date of this deed and 8:00am on the Second Court Date.
