The Company and its Subsidiaries have not knowingly engaged in and are not now knowingly engaged in any dealings or transactions with any person that at the time of the dealing or transaction is or was the subject or the target of Sanctions or with any Sanctioned Country in violation of Sanctions.
From the Second Amendment Effective Date until the earlier of (a) the effective date of termination of this Agreement or (b) the [***] anniversary of the Second Amendment Effective Date, neither Protalix nor any of its Affiliates shall, directly or indirectly, alone or in collaboration with any Third Party, Commercialize in any Country in the Territory any Competing Product.

Each of Protalix and Pfizer shall conduct, and shall use reasonable efforts to cause its Affiliates to conduct, all its activities contemplated under this Agreement in accordance with all applicable Laws of the Country in which such activities are conducted.
At any time and for any reason, Pfizer shall have the right, at Pfizer’s sole discretion, to terminate this Agreement in its entirety, or with respect to a particular Country or Countries within the Territory, such termination to be effective upon thirty (30) days prior written notice to Protalix.
