Notwithstanding anything to the contrary set forth in clause 21.2 above or this Agreement in general, the Parties agree that they shall be liable to each other for: all losses which arise out of their Corrupt Activity or fraud; and all losses which arise out of dishonesty or gross negligence regardless of whether such losses arise out of contract or delict.
Each Partner shall notify the MoJ as soon as it has reason to suspect that any Corrupt Activity has occurred or may occur in connection with the Programme, the MoJ and/or any Additional Client.

Manager’s or subcontractor’s intentional failure to report Corrupt Activity as required in this Section 3.17 shall constitute an event of default under this Agreement.
