Core Assets means any (i) MVF Assets, Siler City Assets or Durham Assets, in each case, excluding any immaterial ordinary course assets utilized in the applicable facility or campus or (ii) Equity Interests of any direct or indirect Subsidiary of the Issuer that directly or indirectly owns any of the foregoing. Notwithstanding anything to the contrary set forth herein, it is understood and agreed that there is no limitation on any MVF Asset, Siler City Asset or Durham Asset moving to and from such locations.

Core Assets means the power generating facilities owned by the Loan Parties and set forth on Schedule 1.01(a), as such schedule is updated from time to time in accordance with Section 5.07(c).

• Notwithstanding anything to the contrary herein (subject to Section 1.02(i)), the Minimum Core Assets Test, Consolidated Core Assets, Consolidated Total Assets and Consolidated Total Revenue of the Borrower and its Subsidiaries shall be calculated on a Pro Forma Basis with respect to each Specified Transaction occurring during the applicable four quarter period to which such calculation relates, and/or subsequent to the end of such four-quarter period.

More Definitions of Core Assets

Core Assets means the hydrocarbon interests of the Borrower and its Subsidiaries located in the Delaware Basin (including, any pipeline or salt water disposal assets).

Core Assets means Hotels (or Equity Ownership Interest in Persons ----------- owning such Hotels) branded as Wyndham Hotels, Wyndham Garden Hotels, Wyndham Resorts and Wyndham Grand Heritage Hotels, or Hotels which will be branded as such within one year after acquisition thereof (so long as such Hotels are so branded within such time period); provided, that notwithstanding anything to the -------- contrary, the Hotels described in Schedule II and Unrestricted Assets shall not be included in this definition of Core Assets.

Core Assets means transmission assets, distribution assets, or assets in respect of any related ancillary service.

Core Assets means assets used or useful in the business of providing air transportation for passengers, owning, leasing, and maintaining facilities in order to conduct such business, or providing other services and selling merchandise related thereto, or any one of more of the foregoing activities; provided that, for the avoidance of doubt, Core Assets shall include LifeMiles Corp. and its subsidiaries.

Core Assets means the Oil and Gas Interests of the Borrower and its Restricted Subsidiaries located in ▇▇▇▇▇▇ County, Texas (including, the pipeline assets of ▇▇▇▇▇▇▇ ▇▇▇▇▇▇▇▇ Pipeline Corporation located in ▇▇▇▇▇▇ County, Texas).

Core Assets means the Silenor Assets and the Generics Assets.

Core Assets means any assets of the Group that are part of the Shared Collateral (other than the DSRA) and the Capital Stock pledged pursuant to Section ‎11.02 that is owned directly by the Parent Guarantor or the relevant Restricted Subsidiary of any new offshore holding company for the ER Group and any new intermediary holding company between the Company and Enrestechnology LLC, Ukhaa Khudag Water Supply LLC and United Power LLC after the Exchange Date.
