Initial Purchase Price Defined in Section 3.1. Intellectual Property Rights Copyrights, Patents, software, trademarks, Know-How, database rights, designs, corporate and trade names, domain names, code and all other intellectual property or industrial property rights and equivalent or similar forms of protection existing anywhere in the world, whether registrable or not, and all registrations and applications thereof, including any priority right.
The terms of the licenses and other grants of rights (and related obligations) under this Agreement (the “Term”) shall remain in effect (i) to the extent with respect to the Patents and Copyrights licensed hereunder, on a Patent-by-Patent and Copyright-by-Copyright basis, until expiration, invalidation or abandonment of such Patent or Copyright (as applicable), and (ii) with respect to all other Licensed IP, in perpetuity.
