The Company shall be (i) the owner and author of any Copyright Work and (ii) the owner and the author of any other work that constitutes “work made for hire” under the copyright law or relates to the subject matter of Executive’s employment.
The Executive shall immediately after the Termination Date deliver to the Secretary of the Company or such other person as the CEO may nominate in writing all books, papers, drawings, designs, records and computer software in his possession or under his control at that date which relate to or concern any Invention, or any Copyright Work, Design, Registered Design or Know How.
Employee further agrees that unless expressly authorized by the Company in writing, Employee will not independently prepare or otherwise distribute or publish any Copyright Work that embodies any Confidential Subject Matter owned by the Company or held in Confidence by the Company for any third party, including without limitation, all Confidential Subject Matter disclosed and to be disclosed by Employee to the Company.
If the Company shall elect to name the Director as the author of any such Copyright Work and/or Design Right Work then the Director hereby waives all and any moral rights in such Work and without prejudice to the generality of the above the right to object to derogatory treatment of the Work and the Company may in its absolute discretion make all such additions and alterations to and deletions from and adaptations of such Copyright Work and Design Right Work as it shall think fit.
Such lawful papers include, but are not limited to, any and all powers, assignments and other papers deemed by the Company to be necessary or advisable in connection with the filing, prosecution, or maintenance of any such patent or copyright application, or in connection with the grant of any such patents or copyrights, or in connection with the transfer of any rights to the Invention or Copyright Work.
